These Subscription Regulations govern the terms and conditions for entering into Subscription Agreements between Ecommerce.legal and Subscribers.

 

§ 1. Definitions

Store – the online store located at ecommercelegal.pl, owned by Ecommerce.legal.

Ecommerce.legal - Ecommerce.legal limited liability company with its registered office in Poznań (60-529) at ul. Dąbrowskiego 77A, entered into the register of entrepreneurs of the National Court Register by the District Court Poznań – Nowe Miasto and Wilda in Poznań, VIII Commercial Division of the National Court Register under number: 0001071438, possessing NIP: 7812061024, REGON: 527034850, share capital: 10,000.00 PLN, telephone number +48 530 091 988, e-mail address: biuro@ecommercelegal.pl

Subscription Regulations – these Subscription Regulations.

Subscriber/Client - a natural person conducting business activity, a legal person, or an organizational unit without legal personality, to which the relevant statute grants legal capacity, who intends to conclude or concludes a Subscription Agreement with Ecommerce.legal.

Subscription Agreement, Subscription - means a service agreement concluded between the Subscriber and Ecommerce.legal, under which Ecommerce.legal undertakes to provide the Subscriber with broadly understood legal services and legal assistance, digital services or digital products in accordance with the principles set out in these Subscription Regulations, as well as on the terms specified during the conclusion of the Agreement, regarding the price and type of Subscription Package selected by the Subscriber.

Subscription Period – the period of validity of the Subscription Agreement, amounting to 12 months.

Subscription Package, Package - a package of services, digital services and/or digital content selected by the Subscriber, available under the concluded Subscription Agreement.

Monthly Fee  the monthly fee for the Package selected by the Subscriber, determined on the date of conclusion of the Agreement by the Subscriber.

Billing Period – the period for which the Subscription is settled. The first billing period begins on the date of conclusion of the Agreement and lasts until the day preceding the corresponding calendar date in the following month (Example: If the subscription agreement began on March 15, the Billing Period will last from March 15 to April 14).

Legal Service – legal services being complex activities, activities requiring in-depth analysis, activities requiring significant effort, or creative activities (e.g., preparing a letter, responding to a complex question, preparing e-commerce store regulations for a client).

Digital Service – a digital service within the meaning of the Consumer Rights Act, allowing the Subscriber in particular to create, process, store or access data in digital form, provided continuously in the form of access to content included in the Package.

Customer Zone Service Agreement (Digital Service Delivery Agreement) – an agreement for the delivery of digital services within the meaning of the Consumer Rights Act, concluded between Ecommerce.legal and the Subscriber, on the terms specified in these Regulations.

Digital Content – digital content within the meaning of the Consumer Rights Act.

Working Day – days from Monday to Friday, excluding public holidays.

 

§ 2. Preliminary provisions

1. Pursuant to the Subscription Agreement, Ecommerce.legal undertakes to provide the Client with services in the form of:

1) legal services,

2) digital services,

3) delivery of digital content related to legal topics or the e-commerce industry.

2. The services referred to in paragraph 1 point 1) above apply only to Polish law and European law directly or indirectly applicable in Poland (e.g., European directives or regulations).

3. The services referred to in paragraph 1 point 1 above may also include foreign law exclusively by individual arrangements between the Client and Ecommerce.legal.

4. The exact scope of services provided by Ecommerce.legal depends on the Subscription Package selected by the Subscriber.

5. Subscription is available only to Clients who conduct business activity in Poland.

6. The User undertakes not to register (or attempt to register) multiple times within the same Subscription Package by using different names, e-mail addresses, or in any other way.

7. In matters not regulated by these Subscription Regulations, the provisions of the Ecommerce.legal online store Regulations available at https://ecommercelegal.pl/pages/regulamin-sklepu shall apply.

 

§ 3. Conclusion of the agreement

1. The Agreement is concluded after individual agreement of cooperation terms between Ecommerce.legal and the Client.

2. Actions aimed at placing an order by the Subscriber, and in particular efforts to conclude the Agreement, may only be carried out by persons duly authorized to act on behalf of the entrepreneur. It is assumed that the person seeking to conclude the agreement is authorized by the entrepreneur for these actions.

3. To properly conclude the Subscription Agreement, the Subscriber should have:

a) Internet access;

b) an active e-mail account;

c) computer programs ensuring the reading of .pdf files.

4. The agreement is concluded by sending an electronic message or by sending a message via the contact form on Working Days and during the hours indicated in the Store. For this purpose, the Client should:

a) indicate in the content of the electronic message or in the message sent via the contact form, addressed to Ecommerce.legal, the name of the Package from among the Packages available in the Store;

b) provide the data necessary to conclude the Agreement.

5. Information on the total value of the selected Package is provided by Ecommerce.legal in each case via email,

6. The Agreement is concluded when Ecommerce.legal sends an email confirming the conclusion of the Subscription Agreement to the email address indicated by the Subscriber, containing a summary of the terms of the selected Subscription Agreement, as well as all other information regarding the Agreement.

7. Ecommerce.legal reserves the right to refuse to conclude an Agreement if the Client is late with any payment to Ecommerce.legal or for other reasons indicated by Ecommerce.legal.

§ 4. Subscription Packages

1. Ecommerce.legal offers various Subscription Packages, which include, in particular, legal support, monitoring of changes in legal regulations, and consultations regarding the Subscriber's business.

2. The description of the Packages, including the scope of services and the estimated number of legal support hours, is available on the Store's website.

3. The Subscription Agreement is concluded after individual contact with Ecommerce.legal and agreement on the terms of cooperation.

4. Ecommerce.legal reserves the right to introduce new Packages, change names, scope of services, and prices for future Agreements. These changes do not affect ongoing Subscription Agreements.

5. Ecommerce.legal reserves the right to offer promotional offers to all or specific Subscribers – in particular, by offering a lower Subscription price or expanding Packages with additional services.

6. The subscription package may include a priority support service. To use the service, an email should be sent to Ecommerce.legal at konsultacje@ecommercelegal.pl with the subject line starting with the word "Urgent". The answer to the question will be provided within the available legal services package or will be priced immediately before being provided.

7. The subscription package may include a free consultation service in the form of meetings. Consultations are held every Thursday from 10:00 AM to 4:00 PM via computer software or email, access to which will be provided to clients by Ecommerce.legal.

8. Customer service within the scope of legal consultations, as referred to in paragraphs 7-8 above, is carried out based on the order of applications/appointments. Appointments are made via email at konsultacje@ecommercelegal.pl.

 

§ 5. Customer Zone

1. Within its business operations, Ecommerce.legal provides Subscribers with access to the Customer Zone.

2. The Customer Zone contains, in particular, materials related to running an e-commerce business (e.g., templates of online store documents).

3. Access to the Customer Zone is available only to Subscribers with an active Subscription Agreement.

4. The detailed scope of materials and functionalities available in the Customer Zone may depend on the selected Subscription Package.

5. The Subscriber is entitled to use the materials made available in the Customer Zone exclusively for the needs of their own business activity.

6. Ecommerce.legal may make changes to the content of the Customer Zone, in particular by adding new materials, updating existing ones, or removing materials that have become obsolete.

 

§6 Payment

1. The Subscriber is obliged, during the term of the Agreement, to pay the Monthly Fee each month.

2. The Subscriber is obliged to pay the first Monthly Fee before the conclusion of the Subscription Agreement.

3. Each subsequent Monthly Fee must be paid by the Subscriber within 7 days from the start of the new Billing Period.

4. Monthly fees are paid in advance, based on a proforma invoice issued on the first day of the new Billing Period. Proforma invoices are sent electronically to the contact email address provided by the Subscriber.

5. The Subscriber authorizes Ecommerce.legal to issue invoices in electronic form.

6. Ecommerce.legal reserves the right to revalorize the Monthly Fee once, by increasing it by a maximum of 10% in each year of the Agreement's validity, but not earlier than after 12 months of the Agreement's validity. Information about the planned fee change will be sent to the Service Recipient in electronic form (to the e-mail address provided at the time of concluding the Agreement or updated later) with at least 30 days' notice.

 

§ 7. Duration of Subscription

1. The Subscription Agreement is concluded for a definite period of 12 (twelve) months.

2. After the expiry of the Subscription Agreement, in the absence of a declaration of no intention to continue the agreement, it shall be extended for an indefinite period. In such a case, the Parties may terminate the Subscription Agreement with a 3-month notice period.

3. Ecommerce.legal may terminate the Subscription Agreement without notice for important reasons. Important reasons include, in particular:

1) delay in payment of the Monthly Fee to Ecommerce.legal amounting to at least 7 days;

2) lack of contact or limited contact with the Subscriber, preventing Ecommerce.legal from properly and timely performing the services covered by the Package;

3) providing incorrect or incomplete information by the Subscriber, preventing Ecommerce.legal from properly and timely performing the services covered by the Package;

4) the Subscriber's demand for services from Ecommerce.legal in a manner intended to enable the Subscriber to circumvent applicable law or in a manner that may constitute a violation of the code of ethics of a legal advisor, attorney, or tax advisor;

5) violation by the Subscriber of the confidentiality provisions referred to in § 8 of the Subscription Regulations.

4. The Client may terminate the Subscription Agreement without notice for important reasons. Important reasons are understood by the parties as:

1) cessation by Ecommerce.legal of providing services specified in the Subscription Agreement after at least one 14-day period has been set for the performance of the services;

2) violation by Ecommerce.legal of the confidentiality provisions referred to in § 8 of the Subscription Regulations.

5. The termination of the Subscription Agreement by either party does not affect the validity of the provisions concerning the obligation to maintain confidentiality, personal data, and intellectual property rights.

6. Ecommerce.legal reserves the right to consent to the termination of the agreement by mutual consent regardless of the duration of the agreement and the notice period specified in paragraphs 1 and 2 above. However, if ecommerce.legal has performed a legal audit and modified/prepared documents, ecommerce.legal may make its consent to the termination of the agreement by mutual consent conditional on the Subscriber settling the amount corresponding to the value of the legal audit. For accounting purposes in accordance with this paragraph, ecommerce.legal sets the value of the legal audit service at PLN 2,800.00 (two thousand eight hundred zlotys) net.

 

§ 8. Changes to the Subscription

1. The Subscriber may, during the term of the Subscription Agreement, change the Package to a higher one.

2. Changing the subscription Package to a higher one does not affect the duration of the concluded Subscription Agreement.

3. To change the Package, the Subscriber notifies Ecommerce.legal of their desire to change to a higher Package via e-mail.

4. The Package change takes effect at the beginning of the next Billing Period, following the Billing Period in which Ecommerce.legal informed the Subscriber about consenting to the Package change.

5. The Client may, solely for important reasons and with the express consent of Ecommerce.legal, change the subscription package to a lower one. The recognition of the indicated reasons as important rests with the sole discretion of Ecommerce.legal. The provisions of paragraphs 3 and 4 above apply accordingly.

 

§ 9. Personal data processing and confidentiality

1. Ecommerce.legal and the Subscriber undertake, in the performance of the Agreement, to comply with personal data protection obligations, including in particular those resulting from the provisions of Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (General Data Protection Regulation), and the Act of 10 May 2018 on the protection of personal data.

2. If the actions undertaken based on the concluded Agreement require it, Ecommerce.legal and the Subscriber undertake to conclude a personal data processing agreement.

3. Ecommerce.legal undertakes to keep confidential all information obtained from the Subscriber in connection with the provision of services, in particular information of an organizational, technical, technological and legal nature, and information whose confidential nature results from the context or from the rules of life experience.

4. Ecommerce.legal, upon obtaining the information referred to in paragraph 3, undertakes to use it solely for the purpose of proper performance of the Agreement and will not disclose it directly or indirectly to any other third party.

5. Ecommerce.legal is responsible for maintaining confidentiality by its employees, associates, attorneys, and persons acting on its behalf. Information obtained in connection with the performance of the Agreement is made available by Ecommerce.legal only to those employees for whom it is necessary to perform their assigned tasks. The scope of information made available to employees depends on the scope of their assigned tasks.

 

§ 10. Nature of services provided

If the Client, within the scope of the subscription, requests services that, due to their nature and applicable regulations, will require a separate agreement (e.g., representation in court proceedings), these services may be provided under a separate agreement concluded with ecommerce.legal Kancelaria Prawna Dziok sp.k.

 

§ 11 Use of templates in the Customer Zone

Subscribers are entitled to use document templates and other materials published in the Customer Zone, as well as adapt them for their own use, during the term of the Subscription Agreement. After the termination of the subscription agreement, the Subscriber loses the right to use document templates and other materials published in the Customer Zone. Unauthorized use of templates and materials published in the Customer Zone entails the obligation to pay a contractual penalty of PLN 5,000.00 (five thousand zlotys zero groszy) for each instance of infringement. The contractual penalty is payable within 7 days of demand. The reserved contractual penalty does not exclude the pursuit of damages on general terms.

 

§ 12. Final Provisions

1. The Subscriber is obliged to promptly notify the Seller of any changes to delivery addresses, authorizations, powers of attorney, under penalty of deeming correspondence valid and the Agreement being carried out by previously authorized or empowered persons, and deeming delivery to the last indicated address effective.

2. These Subscription Regulations are governed by Polish law.

3. Ecommerce.legal reserves the right to make changes to the Subscription Regulations. The new regulations come into force on the date of publication. Registered Users will be informed about changes to the Subscription Regulations via email.

4. The Seller reserves the right to change prices of Subscription Packages and promotions without prejudice to Agreements concluded before these changes. 

5. In matters not regulated by these Subscription Regulations, the provisions of the Regulations and generally applicable provisions of Polish law shall apply.

6. Any disputes arising from or related to the Subscription Agreement will be resolved by the court competent for the registered office of Ecommerce.legal.
